Terms of Service

Effective date: July 1, 2026

These Terms of Service (“Terms”) govern your access to and use of the Companion services described below. The Services are operated by Companion App LLC (“Companion,” “we,” “us,” or “our”), a Florida limited liability company.

By accessing the Services, creating an account, downloading the iOS app, or submitting our waitlist or contact forms, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. The Services

The “Services” consist of:

  • The marketing site at yourcompanion.io, including the waitlist form and the contact form
  • The companion. dashboard application at dashboard.yourcompanion.io, a web-based coordination platform for live event production. The dashboard supports an Organization → Company → Event → Group hierarchy with role-based access; group chat with file attachments; event timelines, group itineraries, and task management; talent profiles and intake information; calendar feeds; push notifications; and an opt-in live location feature for designated team roles. The dashboard is offered as a free plan and as paid subscription plans with optional add-ons, described in Section 11
  • The companion. iOS app, distributed through the Apple App Store, which provides a mobile view of the same dashboard and adds native push notifications and, with your permission, background location sharing for the live tracking feature

2. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent that you meet this requirement and that you have the legal authority to enter into these Terms. The Services are intended for use by professionals coordinating live events; they are not directed at children.

If you enter or submit personal data about other individuals through the Services — including event guests, talent, or minors — you represent that you have the authority and any required consent (including parental or guardian consent for minors) to do so, and your Organization is responsible as the controller of that data.

3. Accounts

Accounts on the dashboard may be created by an Organization administrator, by invitation, or through self-registration where available. You may sign in with a password or with a supported third-party identity provider. You agree to provide accurate information when you create or accept an account, to keep that information current, and to maintain the confidentiality of your password and other access credentials. We offer two-factor authentication, and your Organization may require it; you are responsible for activity that occurs under your account.

If your account was created or controlled by an Organization administrator, that administrator may modify your access, role, or permissions, and may delete your account within their Organization.

4. Acceptable use

You agree not to:

  • Submit illegal, infringing, defamatory, harassing, or harmful content
  • Submit content you do not have the rights to share
  • Attempt to access another user's account, content, or data without authorization
  • Probe, scan, or test the Services for vulnerabilities without our prior written permission
  • Use scrapers, bots, or other automated tools to access or extract data from the Services
  • Reverse engineer, decompile, or attempt to extract the source code of the Services
  • Resell, sublicense, redistribute, or commercialize access to the Services
  • Use the Services to violate applicable law or to interfere with other users
  • Submit false, misleading, or impersonated information
  • Use the live-location feature to track, monitor, or surveil any individual without their knowledge and consent, or to stalk, harass, or endanger any person
  • Upload or submit personal data about other people — including minors' personal data — without the legal right and any required consent (such as parental or guardian consent) to do so
  • Use the Services to plan or coordinate unlawful activity

We may suspend or terminate access for users who violate these Terms.

5. Your content

The Services let you submit, store, and share information including chat messages, file attachments, event details, itineraries, tasks, and talent profile information (collectively, “User Content”).

You retain ownership of your User Content. By submitting User Content through the Services, you grant Companion App LLC a worldwide, royalty-free, non-exclusive license to host, store, transmit, copy (including for backups), display, modify (such as resizing images for delivery), and otherwise process the User Content solely as necessary to provide and improve the Services for you and your Organization. This license terminates when your User Content is removed, except for residual copies retained as part of routine backups, for the time required to comply with our retention policies, or where retention is required by law.

You represent and warrant that you have the rights necessary to grant this license and that your User Content does not violate the rights of any third party.

6. Intellectual property

The Services, including their design, software, text, graphics, logos, and the “companion.” wordmark, are owned by Companion App LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws. Except for the limited rights to use the Services granted under these Terms, no rights are transferred to you. You may not reproduce, distribute, or create derivative works from our intellectual property without our written permission.

7. Service availability

The Services are currently provided without any uptime service-level commitment. We do not guarantee that the Services will be uninterrupted, error-free, or available at any particular time. We may modify, suspend, or discontinue any portion of the Services at any time, with reasonable notice where practicable.

8. Notifications, location, and calendar feeds

You may enable push notifications and subscribe to event or group calendar feeds. By enabling push notifications, you consent to receiving operational messages on your device; you can disable them at any time through your browser or device settings. Calendar feed URLs contain a unique token — anyone with the URL can view the calendar contents, so you should keep them private.

Live location.If you hold a designated team role on an event for which your Organization and an administrator have enabled tracking, you may opt in to share your live location during the event's active window so administrators can coordinate the team. Location sharing is off by default, requires your consent, is limited to the event's active task window, and automatically stops when your last task for the day is completed. You can stop sharing at any time by revoking the location permission in your device settings. How we handle location data is described in our Privacy Policy.

9. Termination and account deletion

You may stop using the Services at any time. You may delete your account yourself from Settings in the dashboard or the iOS app; deletion deactivates your account immediately and permanently removes your personal data after a 30-day grace period, during which you can restore the account by signing back in. Organization owners must first transfer ownership or contact us before deleting. You may also request deletion by emailing contact@yourcompanion.io.

We may suspend or terminate your access if you breach these Terms, if your account poses a security or legal risk, or if your Organization administrator removes your access. Termination ends your license to use the Services. Sections of these Terms that by their nature should survive — including intellectual property, your User Content license to the extent of residual copies, no warranty, limitation of liability, indemnification, and governing law — will continue to apply after termination.

10. Privacy

Our handling of your information is described in our Privacy Policy. By using the Services, you acknowledge that we will process information in line with that Policy.

Where you process the personal data of other individuals through the Services, our Data Processing Addendum applies and is incorporated into these Terms.

11. Fees and billing

companion. offers a free plan and paid subscription plans, along with optional add-ons. The current plans, prices, included seats, and add-ons are shown on our pricing page. The free plan is provided at no charge.

Subscriptions and billing cycle. Paid plans are billed in advance on a recurring basis for the billing cycle you select — monthly or annual. Annual plans are billed once per year at the discounted annual rate shown at checkout. Your subscription automatically renews at the end of each billing cycle until you cancel, at the price for your plan then in effect for you, subject to the price-change protection described below.

Seats and add-ons. Each plan includes a set number of member seats. If you add members beyond the included seats, the additional seats are charged at the per-seat rate shown for your plan, and add-ons are charged at their listed rate, billed on the same cycle as your subscription. If you add seats or add-ons mid-cycle, a prorated charge for the remainder of the current billing cycle is applied to your next invoice. If you remove seats or add-ons, the change takes effect immediately and a prorated credit for the unused portion of the current cycle is applied to your next invoice. We do not issue cash refunds for mid-cycle changes.

Payment processing. Payments are processed by our third-party payment processor, Stripe, Inc. By providing payment information you authorize us, through Stripe, to charge the applicable fees and any recurring charges to your payment method. We do not store your full card number; how billing information is handled is described in our Privacy Policy. You are responsible for keeping your payment method current. If a charge fails, we may retry it, and we may suspend or downgrade paid features if payment remains unpaid after a reasonable period.

Taxes. Prices are shown exclusive of taxes. You are responsible for any sales, use, VAT, GST, or similar taxes associated with your subscription, except for taxes based on our net income.

Price changes. We may change our prices or the structure of our plans. If we increase the price that applies to your existing subscription, we will give you advance notice (for example, by email to the address on your account), and the increase will not take effect for your subscription until a renewal occurring at least twelve (12) months after that notice. Price decreases and introductory promotions may take effect sooner. Before any increased price takes effect at renewal, we will provide clear notice of the new price and how to cancel; continuing to use the paid plan after the increase takes effect constitutes acceptance of the new price.

Cancellation and refunds. You may cancel a paid subscription at any time from your billing settings. Cancellation stops the next renewal; your paid features remain active through the end of the period you have already paid for, after which your account moves to the free plan. We do not provide refunds for partial billing periods except where required by applicable law. When you downgrade to the free plan, your data is preserved subject to the limits of that plan.

12. Apple App Store

The following terms apply when you obtain or use the companion. iOS app through the Apple App Store. You acknowledge that these Terms are between you and Companion App LLC only, and not with Apple Inc., and that Apple is not responsible for the app or its content.

The iOS app is a free download and does not offer in-app purchases. Paid companion. subscriptions are purchased and managed on the web at dashboard.yourcompanion.io through our payment processor (Stripe), not through Apple in-app purchase, and Apple is not a party to and has no responsibility for those subscriptions.

  • Apple has no obligation to furnish any maintenance or support for the app
  • To the maximum extent permitted by applicable law, Apple has no warranty obligation with respect to the app, and any claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are our responsibility, not Apple's
  • Apple is not responsible for addressing any claims you or a third party have relating to the app or your use of it, including product-liability claims, claims that the app fails to conform to a legal or regulatory requirement, and claims arising under consumer protection or similar law
  • In the event of a third-party claim that the app or your use of it infringes that party's intellectual property rights, Companion App LLC, not Apple, is responsible for the investigation, defense, settlement, and discharge of the claim
  • You represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not on any U.S. Government list of prohibited or restricted parties
  • You must comply with applicable third-party terms of agreement (for example, your wireless data service agreement) when using the app

Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce these Terms against you as a third-party beneficiary.

13. No warranty

The Services are provided “as is” and “as available,” without warranty of any kind, express or implied. To the maximum extent permitted by applicable law, Companion App LLC and its parent and affiliates disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability. We do not warrant that the Services will be uninterrupted, secure, or error-free.

14. Limitation of liability

To the fullest extent permitted by applicable law, Companion App LLC and its parent, affiliates, officers, employees, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of the Services, even if we have been advised of the possibility of such damages.

Our total liability for any direct damages arising out of or in connection with the Services is limited to the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred US dollars (US$100).

15. Indemnification

You agree to indemnify and hold harmless Companion App LLC, its parent and affiliates, and our respective officers, employees, and agents from any claim or demand — including reasonable attorneys' fees — arising out of your breach of these Terms, your User Content, or your misuse of the Services.

16. Changes to the Services and these Terms

We may modify, expand, or discontinue any portion of the Services at any time. We may also update these Terms; the “Effective date” above will reflect the most recent change. If we make material changes, we will take reasonable steps to notify you, including via in-app notice or email to the address associated with your account. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

17. Governing law and venue

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law principles. Any dispute arising under these Terms shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you and Companion App LLC consent to the personal jurisdiction of those courts.

18. Miscellaneous

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Companion App LLC regarding the Services. If any provision is held to be unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
